01 — Acceptance
Acceptance of Terms

By creating an account, accessing, or using the Zyber mobile application, website, or any related services (collectively, the "Platform"), you ("User") enter into a legally binding agreement with Zyber ("Zyber," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Platform.

If you are under the age of 18, you represent that you have obtained consent from a parent or legal guardian to use the Platform. By using the Platform, you represent and warrant that you are at least 13 years of age.

We reserve the right to update these Terms at any time. Continued use of the Platform after any such modifications constitutes your acceptance of the revised Terms. We will notify users of material changes via in-app notification or email.

02 — Services
Description of Services

Zyber is a real-time in-person networking and community activation platform. The Platform enables users to:

Zyber is provided on an "as is" and "as available" basis. We do not guarantee continuous, uninterrupted, or secure access to the Platform. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice or liability to you.

03 — Eligibility
Eligibility and Account Registration

You must be at least 13 years of age to create an account. Users aged 13 to 17 must have parental or guardian consent. By registering, you represent that all information you provide is accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at tos@zybernow.com of any unauthorized use of your account.

Zyber reserves the right, in its sole discretion, to refuse service, terminate accounts, or remove content at any time for any reason, including but not limited to violation of these Terms.

04 — Conduct
User Conduct and Prohibited Activities

You agree that you will not use the Platform to:

Violation of this clause may result in immediate termination of your account and potential legal action. Zyber reserves the right to report violations to law enforcement authorities.

05 — Content
User-Generated Content

You retain ownership of any content you post or upload to the Platform ("User Content"). However, by submitting User Content, you grant Zyber a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sub-licensable, and transferable license to use, reproduce, modify, distribute, display, publish, and create derivative works from your User Content for any purpose, including commercial purposes, without compensation to you.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit User Content and to grant the rights described above.

Zyber does not endorse any User Content and expressly disclaims any liability in connection with User Content. We reserve the right, but not the obligation, to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

06 — IP
Intellectual Property

The Platform, including all software, design, text, graphics, logos, icons, images, and the selection and arrangement thereof, is the exclusive property of Zyber and is protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any information or content obtained from the Platform without our prior written consent.

The Zyber name, logo, and related marks are trademarks of Zyber. You may not use them without our prior written permission.

07 — Location
Location Data and Real-Time Features

Zyber's core functionality depends on access to your device's location data. By enabling location services, you expressly consent to the collection, processing, and use of your real-time geographic location for the purposes of providing the Platform's features.

You understand and acknowledge that enabling location sharing makes certain information about your proximity available to other Platform users as determined by your privacy settings. Zyber is not liable for any outcomes arising from other users' access to your location data within the Platform's features.

You may disable location services at any time through your device settings. However, disabling location access will impair or prevent access to core Platform features.

08 — Third Parties
Third-Party Services and Links

The Platform may contain links to third-party websites, services, or applications. Zyber has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed solely by their respective terms and policies.

Zyber may integrate with third-party service providers including but not limited to venue discovery platforms, payment processors, and map services. These integrations are provided for convenience and Zyber does not endorse, warrant, or guarantee any third-party services.

09 — Warranties
Disclaimer of Warranties

Zyber does not guarantee the accuracy, completeness, or usefulness of any content on the Platform. Any reliance you place on such information is strictly at your own risk.

10 — Liability
Limitation of Liability
⚠ You expressly acknowledge that Zyber is not responsible for any in-person meetings, interactions, or activities arranged through the Platform. You meet other users at your own risk.
11 — Indemnification
Indemnification

You agree to defend, indemnify, and hold harmless Zyber and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

12 — Termination
Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, at our sole discretion. Upon termination, your right to use the Platform ceases immediately.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time through the Platform's account settings. Termination does not relieve you of any obligations incurred prior to termination.

13 — Governing Law
Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.

Notwithstanding the above, Zyber reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or other irreparable harm.

14 — Miscellaneous
Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Zyber's failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zyber with respect to the Platform and supersede all prior agreements, communications, and understandings.

Zyber may assign its rights and obligations under these Terms without your consent. You may not assign your rights under these Terms without Zyber's prior written consent.

15 — Introduction
Introduction

Zyber is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our Platform. This Policy is compliant with the Information Technology Act, 2000; the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011; and the Digital Personal Data Protection Act, 2023 (India).

18 — Data Sharing
Data Sharing and Disclosure
18.1 — With Other Users

Certain profile information is visible to other Platform users by default. Your name, profile photo, interests, and proximity may be displayed to nearby users based on your privacy settings. Zyber is not responsible for how other users use information they see on the Platform.

18.2 — With Service Providers

We share information with third-party vendors who perform services on our behalf, including cloud hosting, analytics, customer support, email delivery, push notifications, and AI infrastructure. These parties are contractually bound to handle your data securely and only for specified purposes.

18.3 — With Business Partners

We may share aggregated or anonymised data with venue partners, institutional partners, and event organisers to enable Platform features. Individual-level data is shared only with your consent.

18.4 — For Legal Compliance

We may disclose your information if required by law, regulation, legal process, or governmental request, or when we believe disclosure is necessary to protect our rights, your safety, or the safety of others.

18.5 — Business Transfers

In the event of a merger, acquisition, restructuring, or sale of all or a portion of our assets, your information may be transferred to the acquiring entity. We will notify you of such changes via the Platform or email.

18.6 — With Your Consent

We may share your information with third parties when you have given us your explicit consent to do so.

We do not sell your personal data to third parties for their independent marketing or advertising purposes.
19 — Location
Location Data

Zyber's core functionality requires access to your precise real-time location. We collect location data continuously while the app is in use and, with your additional consent, in the background. Location data is used to:

Your location data may be shared with other Platform users in accordance with your privacy settings. We retain location data for a period of 12 months, after which it is anonymised for aggregate analytics. You may revoke location permissions at any time through your device settings, but this will limit Platform functionality.

20 — Retention
Data Retention

We retain your personal data for as long as your account is active or as needed to provide you services. You may request deletion of your account at any time, after which we will delete or anonymise your personal data within 30 days, except where we are required to retain data for legal compliance, dispute resolution, or enforcement of our agreements.

21 — Security
Data Security

We implement commercially reasonable technical and organisational security measures to protect your personal data against unauthorised access, alteration, disclosure, or destruction. These measures include encryption in transit and at rest, access controls, and regular security assessments.

However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security of your data. You use the Platform at your own risk. In the event of a data breach that affects your rights and freedoms, we will notify you and relevant authorities as required by applicable law.

22 — Cookies
Cookies and Tracking Technologies

We and our third-party partners use cookies, pixel tags, web beacons, and similar tracking technologies to collect information about your interactions with the Platform. This information is used to remember your preferences, analyse usage patterns, deliver personalised content, and serve relevant advertising.

You may control cookie settings through your browser or device settings. However, disabling certain cookies may impact your ability to use certain Platform features. By continuing to use the Platform, you consent to our use of cookies as described in this Policy.

23 — Children
Children's Privacy

The Platform is not intended for children under the age of 13. We do not knowingly collect personal data from children under 13. If we become aware that we have collected personal data from a child under 13 without parental consent, we will take steps to delete that information promptly. If you believe we have collected information from a child under 13, please contact us immediately at tos@zybernow.com.

24 — International
International Data Transfers

Your information may be transferred to and processed in countries other than your country of residence, including countries that may have different data protection laws. Where we transfer data internationally, we implement appropriate safeguards in accordance with applicable law.

25 — Changes
Changes to This Privacy Policy

We may update this Privacy Policy from time to time. We will notify you of significant changes by posting the new Policy on the Platform and, where appropriate, by email. Your continued use of the Platform after such changes constitutes your acceptance of the revised Policy. We encourage you to review this Policy periodically.

26 — Grievance
Grievance Officer

In accordance with the Information Technology Act, 2000 and applicable rules, a Grievance Officer has been designated for Zyber. The Grievance Officer shall acknowledge your complaint within 24 hours and endeavour to resolve it within 15 days of receipt.

III — Consent
Acknowledgement and Consent

By clicking "I Agree," creating an account, or otherwise using the Zyber Platform, you acknowledge and agree that:

You have read and understood these Terms of Service and Privacy Policy in their entirety
You are legally capable of entering into a binding agreement
You consent to the collection, processing, and use of your personal data, including location data, as described in the Privacy Policy
You accept the limitation of liability and indemnification clauses without reservation
You understand that in-person meetings arranged through the Platform carry inherent risks for which Zyber bears no responsibility
You consent to the grant of intellectual property rights over your User Content as described in Section 5
You agree to resolve disputes through arbitration as described in Section 13
This document constitutes a legally binding agreement. Zyber recommends that you save or print a copy for your records.
